Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Momento mobile application and any related services (collectively, the "Service") operated by Coley Brown ("Momento," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Momento is a private journaling application that lets parents and guardians write letters, record voice memos, and save photos for a child. Entries are stored privately in a "vault" and become viewable by the child when they reach an age you choose (between 13 and 21).

2. Eligibility and Accounts

To use the Service, you must be at least 18 years old and a resident of the United States. By using the Service, you represent that you meet these requirements.

You agree to provide accurate information when registering, to keep your password confidential, and to notify us promptly of any unauthorized access. You are responsible for all activity that occurs under your account.

3. Subscriptions, Trials, and Payments

The Service offers the following plans. The prices below are in U.S. dollars; the exact price is shown in your local currency in the app at the time of purchase and may vary by region:

Auto-renewal. Monthly and yearly subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. Your Apple ID will be charged for renewal within 24 hours prior to the end of the current period at the price shown in the App Store at the time of renewal. You can manage and cancel your subscriptions at any time in your App Store account settings. Cancellation takes effect at the end of the current paid period; no partial refunds are issued.

Free trial. If your subscription includes a free trial, you will not be charged until the trial period ends. If you cancel before the trial ends, you will not be charged. If you do not cancel, your subscription will automatically begin and your Apple ID will be charged at the price shown in the App Store.

Lifetime plan. The Lifetime plan provides access to premium features for the lifetime of the Service. We will give at least 12 months' notice if we discontinue the Service (see Section 9).

Payments. All payments are processed by Apple through the App Store. We do not store or process payment card data.

Refunds. Refund requests are handled by Apple in accordance with Apple's standard policy. You may request a refund at reportaproblem.apple.com.

4. Your Content

Letters, voice memos, photos, prompts, and any other material you submit to the Service ("Your Content") remain your property.

You grant Momento a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and display Your Content solely to operate and improve the Service for you. We do not sell Your Content, share it with advertisers, or use it to train machine-learning models.

You are solely responsible for Your Content and confirm that:

We may, but are not obligated to, remove content that violates these Terms.

5. Co-Parent Access (Premium)

If you invite a co-parent to a child's journal, they will be able to write their own private letters to that child. Entries written by each parent remain private to that parent unless explicitly marked as shared. You may revoke a co-parent's access at any time from within the Service.

6. The Vault and Delivery to Your Child

You choose the age (13 to 21) at which your child's vault becomes accessible. On the morning of your child's birthday at that age, we will attempt to send an invitation email to the address you designate.

You are responsible for keeping the designated recipient email current. Momento is not liable for failed delivery due to outdated contact information, the recipient's email provider, or any reason outside our reasonable control. The Service does not guarantee that any specific letter, photo, or memo will be accessible at a future date, although we will use commercially reasonable efforts to preserve Your Content (see Section 9).

If the designated child is under 13 when the vault opens, you are responsible for ensuring that providing access complies with all applicable laws, including the Children's Online Privacy Protection Act (COPPA).

You agree not to:

We may suspend or terminate your account at our discretion if we reasonably believe you have violated these Terms.

8. Intellectual Property

The Service, including the app, website, brand, and all software and design, is owned by Momento and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-transferable, non-exclusive license to use the Service for personal, non-commercial purposes.

9. Data Retention, Export, and Service Continuity

We use commercially reasonable measures to preserve Your Content, including encrypted storage and routine backups. You can delete your account at any time from within the Service; deletion is permanent and irreversible.

If we discontinue the Service, we will provide at least 12 months' advance notice and offer a means to export Your Content before shutdown.

10. Privacy

Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. While we use commercially reasonable measures to protect your data, we do not warrant that the Service will be error-free or that any content will be preserved for any specific period.

12. Limitation of Liability

To the maximum extent permitted by law, Momento and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of your use of the Service. Our total liability to you for all claims related to the Service shall not exceed the greater of (a) the amounts you paid to Momento in the twelve months before the claim arose or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Momento and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from Your Content or your violation of these Terms.

14. Termination

You may stop using the Service or delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe doing so is necessary to protect the Service or other users. Sections that by their nature should survive termination (including 4, 8, 11, 12, 13, and 16) will survive.

15. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will notify you in the app or by email at least 14 days before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Davidson County, TN, and you and Momento consent to personal jurisdiction there.

17. Apple App Store Provisions

You acknowledge that these Terms are between you and Momento, not Apple, and that Apple is not responsible for the Service or its content. Apple has no obligation to provide maintenance or support for the Service. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Service to you (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Service.

You represent that you are not located in a country subject to a U.S. government embargo and are not listed on any U.S. government list of prohibited or restricted parties.

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you.
